  • Structuring both open-end and closed-end trusts and corporations as well as flow-through limited partnerships, commodity pools, hedge funds, private equity funds, income trusts, real estate investment trusts and royalty trust vehicles;

  • Tax structuring for investment funds and their managers and others;

  • Advising on funds of funds (including master feeder structures), due diligence, purchase and sale of secondary portfolio investments, as well as on how to reduce taxes on these transactions;

  • Advising on derivatives and the development of innovative financial products, including income conversion structures that use conventional and pre-paid forwards;

  • Advising on offerings of investment funds, including both public and private distributions of securities and domestic as well as cross-border and other international offerings;

  • Structuring asset management arrangements, including sub-advisory and referral arrangements;

  • Advising on mergers within the investment fund industry;

  • Providing regulatory and compliance advice to investment funds and their managers, advisers and distributors, including on emerging topics such as fund governance, anti-money laundering, anti-terrorist financing, market timing, "soft dollars" and best execution; and

  • Providing representation for enforcement matters, regulatory investigations, and civil claims, including class action disputes.
