 Stikeman Elliott is one of Canada's leading law firms in the investment funds area, with members of our Investment Funds Group located in major financial centres around the world, including Toronto, Montréal, Vancouver, New York and London. We have been involved extensively in both the public and private investment fund markets, including the funds of funds and private equity fund markets. Our clients include both public and private investment funds, investment fund managers, dealers and advisers (both domestic and international), as well as financial institutions and other institutional investors. Our experience includes:
- Structuring both open-end and closed-end trusts and corporations as well as limited partnerships, commodity pools, hedge funds, private equity funds, income trusts, real estate investment trusts and royalty trust vehicles;
- Tax structuring for investment funds and their managers and others;
- Advising on funds of funds (including master feeder structures), due diligence, purchase and sale of secondary portfolio investments, as well as on how to reduce taxes on these transactions;
- Advising on derivatives and the development of innovative financial products, including income conversion structures that use conventional and pre-paid forwards;
- Advising on offerings of investment funds, including both public and private distributions of securities and domestic as well as cross-border and other international offerings;
- Advising on mergers within the investment fund industry;
- Providing compliance advice to investment funds and their managers, advisers and distributors, including on emerging topics such as fund governance, anti-money laundering, anti-terrorist financing, market timing, "soft dollars" and best execution; and
- Providing representation for enforcement matters, regulatory investigations, and civil claims, including class action disputes.
