Project Finance

Major projects require counsel with varied and in-depth capability. While counsel will often need to be able to efficiently build upon previous transactions and documentation, they will also need to retain a sense of practicality, creativity and alignment to the client's ultimate goals. Our project finance capability draws on the skills of our banking, corporate, energy, real estate, securities and tax groups, as well as experience developed through our work on projects involving public-private partnerships and AFP structures. Our experience spans a number of industries, including electric power co-generation and the development of other natural resources, real estate development and public and private-sector infrastructure financings involving different combinations of Design, Build, Finance, Operate and Maintain models. Our expertise covers capital markets bond financing, unsecured and secured lending, by one lender or in syndication, as well as hybrid structures and structured transactions.

Among many other projects, our Canadian project finance expertise includes acting in connection with:

  • the C$266M financing of the Northwest Anthony Henday Drive highway project in Alberta, selected for the 2008 Silver Award for project finance by the Canadian Council for Public-Private Partnerships;

  • the C$942M financing of a power production station in Ontario, one of Canada's largest project finance deals to date;

  • the C$518M financing for development of the Harrison Lake hydroelectric facilities in British Columbia, the first monoline-insured bond deal of its kind in Canada;

  • the C$479M financing of a power plant in Ontario, selected as North American Project Finance Deal of the Year (2007) by Euromoney; and

  • the C$329M financing of a regional cancer centre in British Columbia.

Internationally, we have advised on a $450M financing for a mine project in Russia and a US$1.3B public-private passenger rail project in Mexico, as well as other mine financing deals in Argentina, Guyana and South Africa, among others. We have also acted in connection with project financing for roads and public infrastructure projects in Asia, Africa and Australia.
