Stikeman Elliott's blockchain expertise chalks up accomplishments for both clients and the industry

May 15, 2018

Stikeman Elliott is at the forefront of Canadian legal developments in transformative blockchain technologies and is uniquely positioned to provide strategic guidance to clients and the industry alike.

This is evidenced by recent work with clients in the blockchain space whose success relied on the firm’s insights into the regulatory framework and considerations industry players characteristically face in this sector. These include:

  • HyperBlock Technologies Corp. Stikeman Elliott is acting for HyperBlock in the cryptocurrency space in its proposed reverse takeover of CryptoGlobal Corp., a leading blockchain and fintech company.
  • Hut 8 Mining Corp. The firm worked with this cryptocurrency mining and blockchain infrastructure company in its reverse takeover of Oriana Resources Corporation, public listing on the TSXV and completion of private placements.
  • GMP Securities L.P. Stikeman Elliott was agents’ counsel, in the private placement of units of FBC Bitcoin Trust, a mutual fund trust managed by First Block Capital Inc., and Canada’s first Bitcoin fund.
  • An international Bitcoin exchange. Stikeman Elliott worked with Canadian federal and provincial regulatory matters including registration with the Canadian Financial Transactions Reporting and Analysis Centre.

Our blockchain expertise is drawn from a wide range of practices, including our Technology, Financial Products & Services, Capital Markets, Mergers & Acquisitions, and Tax Groups, who advise on the application of Canadian laws to blockchain-based products, due diligence, artificial intelligence, disruptive technologies, anti-money laundering (AML) compliance, cybersecurity issues, data storage, outsourcing, and other forms of service provision to the industry. This has led to several ground-breaking firsts in the blockchain sector.

“We advised on the creation of Canada’s first Bitcoin fund managed by the first registered investment fund manager in Canada to focus exclusively on cryptocurrency investments, which positions our lawyers as market leaders with practical experience in the crypto landscape,” said Darin Renton, partner.
