  • Atrium Innovations Inc. in its US$2.3B acquisition by Nestlé S.A. from a group of investors including a company backed by the Permira Funds, Caisse de dépôt et placement du Québec and Fonds de solidarité FTQ.
  • Represented clients on a penal action involving 23 alleged infractions to the Securities Act for insider trading, market manipulation, fraud on the market and conspiracy relating to a multi-billion dollars acquisition. This was the biggest insider trading matter in Canadian history and were successful in obtaining a stay of proceedings against all alleged infractions.
  • Transcontinental Inc., as lead counsel in its C$287.5M bought-deal public offering of subscription receipts, and as Canadian counsel in its C$1.7B transformational acquisition of Coveris Americas.
  • Ivanhoé Cambridge Inc., a subsidiary of Caisse de dépôt et placement du Québec, in its acquisition with Blackstone Property Partners of Pure Industrial Real Estate Trust for C$3.8B including debt. Affiliates of Blackstone Property Partners and Ivanhoé Cambridge Inc. acquired respectively 62% and 38% of PIRET.
  • SNC-Lavalin Inc. v. ArcelorMittal Exploitation Minière Canada et al. v. BBA Inc. et al. - defending SNC-Lavalin Inc. in the matter of a C$533M counterclaim for allegedly grossly negligent EPCM services rendered in the context of a brownfield mining project in Northern Quebec.
  • The JFL Management Trust, in the context of the sale of Jarislowsky Fraser Limited to Scotiabank for approximately C$950M.
  • The Jean Coutu Group (PJC) Inc., a Canadian leader in retail pharmacy, in its C$4.5B combination with Metro Inc. by way of three-cornered amalgamation.
  • Federation Internationale de Football Association (FIFA) with respect to intellectual property enforcement in Canada during the FIFA World Cup (2006, 2010, 2014, 2018).
  • IPL Plastics, in connection with an Irish Scheme of Arrangement that established a new holding company in Canada and the concurrent initial public offering of common shares. 
  • Saputo Inc. in connection with its US$1B revolving credit facilities and the C$700M and A$600M term facilities to finance the acquisition of Murray Goulburn Co-operative Co. Limited (Australia).
  • Veolia Water Technologies, Inc. in its C$500M litigation with K+S Potash Canada General Partnership and Aecon Mining Construction Services surrounding the alleged failure of several crystallizer vessels manufactured by Veolia and installed at the K+S mine facility.
  • The underwriting syndicate led by Credit Suisse Securities (Canada), Inc., National Bank Financial Inc., UBS Securities Canada Inc. and TD Securities Inc. in the C$638.4M bought deal public offering of Class B shares (subordinate voting) of Bombardier Inc.
  • Cogeco Communications Inc. in the equity investment by Caisse de dépôt et placement du Québec in Cogeco, which will finance the US$1.4B acquisition by Cogeco Communications Inc.’s subsidiary, Atlantic Broadband, of all of Harron Communications, L.P.’s cable systems operating under the MetroCast brand name.
  • Bombardier and its subsidiary Learjet in a series of lawsuits instituted by numerous suppliers in relation to the termination of the Learjet 85 Program at the end of 2015.
